Primary roles and responsibilities

  1. Convene board and general meetings, take minutes, draft notices, agenda, resolutions in accordance with the provisions of the Companies Act, and rules thereunder.

  2. File various statutory forms and returns with appropriate authorities i.e. day to day filings and/ or event based filings (change of directors, increase in capital etc.).

  3. Advice to the management and drive special projects i.e. issuing shares, mergers, takeover, anti-bribery, anti-money laundering, movement of registered office, incorporation of companies, dematerialization, transfer and transmission of shares etc.

  4. Responsible for administrative functions i.e. maintain statutory books, including register of members, directors, secretaries and shareholders with all the past and present shareholdings.

  5. Collect disclosures, consents etc. required under the Companies Act from the directors.

  6. Compliance and liaising with the Ministry of Corporate Affairs, Registrar of Companies, external auditors and advisors.

  7. Support compliances with all statutory requirements and advise directors and members on key managerial and corporate governance matters.

  8. Drafting, reviewing and negotiating diversified commercial contracts and other business vertical contracts viz. HR, Finance, Compliance, Strategy, Customer Success etc.

  9. Structuring of new business products in collaboration with the stakeholders and offering risk mitigants to ensure statutory and regulatory compliances.

  10. Driving of matters pertaining to intellectual property, including filing of applications for global registration and licensing of Trademarks.

  11. Being up to date on the relevant laws and collaborate with global internal stakeholders for advising the compliances.

Essential qualifications

  1. ACS/ FCS Membership of ICSI with minimum 3-4 years PQE with Bachelor of Law.

  2. Familiar with secretarial support to technology-based company, FEMA regulations, inward and outward remittance, fund raising transactions and export of services.

  3. Candidate with experience in legal transactions would be preferred.

  4. Ability and willingness to work as a quasi-legal resource to the company.

  5. Excellent knowledge and in-depth understanding of corporate laws and procedures.

  6. Experience in commercial contracting.

  7. Adaptable, flexible, pragmatic with solution driven approach.

  8. Expertise in identifying & mitigating the legal risks and comprehend business challenges in new areas of law.

  9. Familiar with data protection, data privacy and cyber security laws of India.

  10. Articulate and possess good communication and drafting skills.
